1. Binding Agreement

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”) and MV Thrive (“Company”).

By:

• Accessing our website,
• Purchasing any digital product,
• Subscribing to any service,
• Accessing ThriveflixU or Core Portal,
• Using any service under the MV Thrive umbrella,

you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree, you must discontinue use immediately.

2. Digital Nature of Products

All products offered under MV Thrive are digital products delivered electronically.

No physical goods are shipped.

By completing a purchase, you acknowledge that digital delivery may begin immediately or according to the structure described on the relevant sales page.

3. Accounts & Access

Certain products require account creation.

You agree that:

• Access is personal and non-transferable;
• Login credentials will not be shared;
• Multiple users or households may not access content under a single account;
• Content may not be reproduced, distributed, resold, uploaded, or publicly shared.

We reserve the right to suspend or permanently revoke access in cases of misuse, abuse, unauthorized sharing, payment disputes, or breach of these Terms. No refund will be issued in such cases.

4. Subscriptions, Billing & Cancellation

If you purchase a subscription:

• Billing occurs automatically according to the selected plan;
• You authorize recurring charges until cancellation;
• You may cancel via the designated billing system;
• Cancellation stops future billing.

Access to subscription-based content may terminate upon cancellation, as described in the applicable platform policy.

We are not responsible for missed cancellation requests due to failure to follow the designated cancellation process.

We reserve the right to modify subscription pricing at any time. Reasonable prior notice will be provided before new pricing applies.

Continued use after pricing changes constitutes acceptance of updated pricing.

5. Refund Policy (Digital Products)

Due to the digital and instant-access nature of our products, all sales are final unless explicitly stated otherwise on the relevant sales page.

Where applicable, specific product refund policies override this default rule.

By completing a purchase, you acknowledge and accept this policy.

6. Chargebacks & Payment Disputes

Initiating unjustified chargebacks or payment disputes constitutes material breach of these Terms.

In such cases, we may:

• Immediately revoke access;
• Restrict future purchases;
• Provide access logs and usage data to payment processors;
• Seek recovery of administrative and chargeback-related costs.

Fraudulent or abusive disputes may be reported to relevant financial institutions.

7. Intellectual Property

All content under MV Thrive, including but not limited to:

• Stories
• Illustrations
• Templates
• Documents
• Designs
• Educational materials
• Strategic methodologies

is protected under international intellectual property laws.

You may use content strictly for personal use as described in the product details.

You may not:

• Resell
• Redistribute
• Republish
• Modify for resale
• Upload to sharing platforms
• Claim ownership

Violation may result in civil or criminal action.

8. No Guarantees / No Reliance

All content provided by MV Thrive is for educational, informational, or entertainment purposes only.

We make no guarantees regarding:

• Income
• Business success
• Marketing performance
• Audience growth
• Financial outcomes
• Personal development results

Results depend on multiple variables beyond our control, including individual implementation, effort, skills, market conditions, and economic factors.

You acknowledge that you are not relying on any representation, promise, or statement not expressly set out in writing within our official materials.

9. Platform Availability

We strive to maintain platform availability but do not guarantee uninterrupted access.

Temporary downtime due to maintenance, technical issues, third-party outages, or force majeure events does not constitute grounds for refund.

10. Eligibility

You must be at least 18 years old or possess full legal contractual capacity under applicable law.

If content is designed for children, purchasing adults are responsible for supervision and suitability.

11. Right to Refuse Service

We reserve the right to refuse service, suspend access, or terminate accounts if we determine that a user has:

• Violated these Terms;
• Engaged in abusive, fraudulent, or unlawful behavior;
• Misused the platform or content;
• Initiated unjustified payment disputes;
• Attempted unauthorized access.

Such actions may result in permanent termination without refund.

12. Indemnification

You agree to indemnify and hold harmless MV Thrive from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Violation of these Terms;
• Unauthorized use or distribution of content;
• Payment disputes or chargebacks;
• Misuse of digital products or services.

13. Limitation of Liability

To the fullest extent permitted by applicable law, MV Thrive shall not be liable for:

• Indirect damages;
• Consequential damages;
• Loss of revenue;
• Loss of opportunity;
• Data loss;
• Business interruption;
• Reputational damage;

whether arising in contract, tort, negligence, strict liability, or otherwise.

To the maximum extent permitted by law, total aggregate liability arising out of or relating to any claim shall not exceed the lesser of:

(a) the amount paid by the User for the specific product giving rise to the claim; or
(b) one hundred euros (€100).

Nothing in these Terms excludes liability that cannot be legally excluded under applicable law.

14. Force Majeure

We shall not be liable for failure to perform obligations due to events beyond reasonable control, including governmental actions, internet outages, processor disruptions, natural disasters, or similar events.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain valid and enforceable.

16. Entire Agreement

These Terms constitute the entire agreement between the User and MV Thrive regarding use of our services and supersede prior understandings.

No oral statements modify these Terms.

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of Portugal.

If the User qualifies as a consumer under mandatory consumer protection laws of their country of residence, such provisions apply where legally required.

Subject to applicable consumer protection regulations, disputes shall fall under the exclusive jurisdiction of the competent courts of Portugal.

18. Modifications

We reserve the right to modify, update, or discontinue any part of our content, services, platform structure, pricing, subscription models, or these Terms at any time.

Updates will be published with a revised “Last Updated” date.
